UTAH DX ASSOCIATION

CONSTITUTION

 

As Amended May 21, 2008

 

ARTICLE I--Preamble

 

We, the undersigned, wishing to secure for ourselves the pleasures and benefits of an association of persons commonly interested in Amateur Radio, and more particularly in HF DXing, constitute ourselves the Utah DX Association (UDXA) and enact this constitution as our governing law. It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, fraternalism and individual operating efficiency, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio and DXing in the community.

 

ARTICLE II--Membership

 

Section 1

 

Membership is open to any licensed amateur radio operator interested in working DX.

 

Section 2

 

For the purposes of the general functioning of the club, there shall be one class of membership, with all current members having an equal vote.

 

Section 3

 

The Bylaws shall provide for the payment of annual dues by most members. Dues are to be paid at the beginning of each calendar year. The payment at the time of initial application for membership may be prorated. For the purposes of the payment of dues, a dues class shall be determined according to the requirements listed below:

 

A. Regular Membership

1. Pays regular annual dues.

 

             B. Honorary Membership

1. Sponsored by two current members and one Board member.      

2. Elected by a majority of the members in attendance at any meeting.

3. Membership is for life, unless modified by the Board of Directors.
4. A visiting amateur who comes to Utah to present a special program may be made an honorary member by a majority vote of the Board of Directors.

5. Pays no dues.

 

C. Family Membership
                                       1. Two or more members or applicants must reside in the same
                                       household.

2. One Amateur pays regular annual dues, and all other amateurs who are residing at the same household are eligible for membership for an additional $5.00 each.

 

D. Student Membership

1. Must be a full-time student.

2. Pays one-half of the regular annual dues.

3. Reviewed by the Treasurer each year.

 

E. Dues Waived

1. Special category for any member or applicant who may be unable pay annual dues or for whom paying annual dues may represent a financial hardship.

2. Pays no annual dues.

3. Must be approved by the Board of Directors on an individual basis.

4. Reviewed and approved by the Treasurer each year thereafter.

 

Section 4

 

Membership will be unlimited in number.

 

 

ARTICLE III--Officers

 

Section 1

 

The officers of this Association shall consist of a President, a Vice President, a Secretary, and a Treasurer, who shall be elected, as provided below, for one year terms. There shall be two Directors-at-Large who shall be elected in alternating years for two year terms.

 

Section 2

 

Nominations for officers and directors shall be made at the November meeting. The Nominating Committee shall present its nominees, and additional nominations may be made from the floor. In the event that there are no nominations from the floor for one or more positions, the nominees of the Nominating Committee shall be declared elected by voice acclamation at the November meeting.

 

Section 3

 

Unless previously declared elected by voice acclamation at the November meeting, officers are to be elected by secret ballot at the regularly scheduled December meeting. Installation of the new officers shall be at the January meeting.

 

Section 4

 

Any vacancies occurring between elections are to be filled by appointment of the remaining officers.

 

Section 5

 

Any officer may be removed by a two-thirds vote of the total voting membership.

 

 

ARTICLE IV--Duties of the Officers

 

Section 1

 

The President shall preside at all meetings of the Association and shall enforce due observance of this Constitution and Bylaws, decide all questions of order, sign all official documents adopted by the club, and perform all other duties customarily pertaining to the office of the President.

 

Section 2

 

The Vice President shall assist the President in all matters of the Association and shall act in the President's behalf in his/her absence. In addition, he/she shall organize club activities, plan and recommend contest activities, and advance club interest and activity as approved by the club. The Vice President shall be responsible for award presentations.

 

Section 3

 

The Secretary shall keep a record of the proceedings of all meetings, maintain and publish a roster of members, carry on all correspondence on behalf of the Association, and prepare all awards issued by the Association. At the expiration of his/her term he/she shall turn over all items belonging to the club to his/her successor.

 

Section 4

 

The Treasurer shall receive and receipt for all monies paid to the club; maintain a bank account in the name of the Association; keep an accurate account of all monies received and expended; pay no bills without proper authorization. At the end of each quarter he/she shall submit an itemized statement of disbursements and receipts. At the end of his/her term he/she shall turn over everything in his/her possession belonging to the club to his/her successor.

 

 

ARTICLE V--Board of Directors

 

Section 1

 

The Board of Directors shall consist of the current officers of the Association, two Directors-at-Large, and the immediate Past President, all elected by a majority of the membership.

 

Section 2

 

The Board shall be responsible for overall policy making not specified in this Constitution or Bylaws and for formulating proposed amendments to the Constitution or Bylaws.

 

Section 3

 

The Board shall meet a minimum of once per year, and such meetings shall be open to the membership who shall be notified of such meetings at least one week in advance. Such notification shall be made by the President.

 

 

ARTICLE VI--Committees and Appointed Positions

 

Section 1

 

The Nominating Committee shall consist of a Chairperson and two members chosen by the Board of Directors. The Chairperson and members shall be appointed by the President.

 

Section 2

 

Any additional committees may be appointed by the Board of Directors to serve at its discretion.

 

 

ARTICLE VII--Meetings

 

Section 1

 

The Bylaws shall provide for regular and special meetings. A majority of the members in good standing in attendance at any meeting shall constitute a quorum for the transaction of official business.

 

Section 2

 

The January meeting of the Association may be an Annual Awards Banquet.

 

 

ARTICLE VIII--Amendments

 

Section 1

 

The Constitution or the Bylaws may be amended by a two-thirds vote of the eligible members present. Proposals for amendments shall be submitted at a regular meeting and shall be voted on at the following regular meeting.

 

 

 

UTAH DX ASSOCIATION

BYLAWS

 

 

Article I

 

Dues for all members shall be $25 per year and are payable at the January meeting and must be paid by then in order for a member to remain in good standing. Any member not remitting dues by the March meeting will be dropped from the membership roster. Payment of dues after that date will automatically reinstate the member to good standing. A member's dues class and dues amount will depend on the appropriate membership class as outlined in Article II, Section 3 of the Constitution.

 

Article II

 

The Association, by majority vote of the voting members in good standing at any regular meeting, may levy upon the general membership such assessments as shall be deemed necessary for the Association to operate effectively.

 

Article III

 

Except for the December meeting, regular meetings shall be held on the third Wednesday of each calendar month.

 

Article IV

 

The meeting place for the regular monthly meetings shall be determined by the Board of Directors.

 

Article V

 

Expenditures of Association funds of $50 or less may be authorized by the President or Treasurer. Expenditures over $50 but not more than $150 must be authorized by a majority of Association officers. Expenditures over $150 must be authorized by a majority of the members in good standing in attendance at any meeting.

 

Authorized and approved expenses of the Association will be paid directly to vendors upon presentation of invoices to the Association Treasurer. The member ordering the items must receive approval for the purchase by the officer, officers, or members depending on the amount of the expenditure. If the officer or member orders multiple items on behalf of individual members such as Association shirts, hats, name badges, QSL cards, and similar items, monies must be collected and remitted to the Treasurer prior to placing the order.

 

A member of the Association may seek reimbursement for expenses paid on behalf of the Association or the members of the Association. The member seeking reimbursement shall provide the Treasurer prior to reimbursement, documentation in the form of receipts or invoices which verify the payment of those expenses.

 

A member or officer who purchases multiple items ordered by individual members such as Association shirts, hats, name badges, QSL cards, and similar items may be reimbursed. The member or officer who places the group order must insure that adequate funds have been received by the Association for the purchase of the goods prior to requesting reimbursement.
